Terms of Service

These Terms of Service (“Terms”) govern your access to and use of QuoteSense (the “App”), a quote-building application that merchants install on their Shopify stores, operated by Edge Ecom LLC (“we,” “us,” or “our”). By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

1. The Service

QuoteSense adds a “Request a Quote” flow to your Shopify storefront and gives your team a quote builder that captures customer requests, prices custom quotes with margin visibility, and syncs accepted quotes to Shopify draft orders for checkout. We may add, change, or remove features over time. We’ll try to give notice of material changes, but we’re not obligated to maintain any particular feature.

2. Eligibility and accounts

To use the App you must have an active Shopify store and the authority to install applications on it. You are responsible for all activity that occurs under your account and for keeping your access credentials secure. The App authenticates merchants through Shopify; you are responsible for managing which of your staff have access to your Shopify admin.

3. Subscriptions, fees, and free trial

• The App is offered on paid subscription plans at the price and tier shown at the time you subscribe. Each plan includes a 14-day free trial unless stated otherwise.
• All fees are billed through the Shopify Billing API and added to your Shopify invoice. We never see or store your payment card or bank details — Shopify handles all billing collection.
• Subscriptions renew automatically each billing cycle until canceled. Fees are billed in advance and, except where required by law, are non-refundable.
• We may change our pricing. If we do, the new price applies to your next billing cycle after we give notice through the App or by email.

4. Cancellation

You may cancel at any time by uninstalling the App from your Shopify admin or by downgrading your plan. Cancellation stops future renewals; it does not retroactively refund the current billing cycle. Uninstalling the App begins deletion of your data as described in our Privacy Policy.

5. Acceptable use

You agree not to:

• Use the App for any unlawful purpose or in violation of Shopify’s terms, policies, or applicable law.
• Attempt to gain unauthorized access to the App, other merchants’ data, or our systems, or interfere with the App’s operation.
• Reverse engineer, resell, or sublicense the App except as permitted by law.
• Use the App to send unsolicited messages or to collect data without the consent required by applicable law.

6. Your data and your customers’ data

You retain ownership of the data you and your customers submit through the App. You are the controller of your end customers’ personal data; we process it on your behalf as described in our Privacy Policy, which is incorporated into these Terms. You are responsible for having a lawful basis to collect and process the customer data you handle through the App, and for providing your customers any notices the law requires.

7. Intellectual property

The App, including its software, design, and content (excluding your data), is owned by Edge Ecom LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the App while your subscription is active and in good standing. All rights not expressly granted are reserved.

8. Third-party services

The App depends on Shopify and other third-party providers (listed in our Privacy Policy). Your use of those services is governed by their own terms. We are not responsible for third-party services, and any interruption, change, or discontinuation of them may affect the App.

9. Disclaimer of warranties

The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that it will meet your specific requirements. Quotes, margins, and pricing the App displays are tools to assist your decisions; you are responsible for the prices you offer and the orders you fulfill.

10. Limitation of liability

To the maximum extent permitted by law, Edge Ecom LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the App. Our total liability for any claim arising out of or related to these Terms or the App will not exceed the amount you paid us for the App in the three (3) months immediately before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Edge Ecom LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the App, your data, or your violation of these Terms or applicable law.

12. Term and termination

These Terms apply for as long as you use the App. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the App becomes impractical. You may terminate at any time by uninstalling the App. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above and, for material changes, notify merchants by email or through a notice in the App. Continued use of the App after an update constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the App will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to personal jurisdiction there.
